Terms

• Pricing is subject to all applicable sales taxes or duties.
• Transoft reserves the right to void or revise this quotation prior to the purchaser’s acceptance. Transoft shall make reasonable efforts to communicate such changes to the purchaser.
• All Software license and software maintenance pricing and purchases are subject to and conditional upon purchaser’s acceptance of the pricing and other terms in this Quotation, Transoft’s standard Software License Agreement (SLA), and Maintenance Assurance Program (MAP) (collectively, “Standard Terms”)and such additional terms noted above or attached to this quotation.
• Purchasers who decline MAP subscription on their licensed products shall be provided free technical support for a 30-day period following the date of purchase, which services shall be limited to software installation matters. Thereafter such purchasers will be subject to a fee for all tech support services.
• The purchaser agrees that by accepting this Quotation and issuing any purchase order (“PO”): a) the terms and conditions of this Quotation and the Standard Terms are accepted and will govern the supply and delivery of the products or services set out in this Quotation; and b) that where any terms and conditions stated in a PO differ from this Quotation and the Standard Terms, any such differing terms or conditions in the PO which conflict with the terms of this Quotation and the Standard Terms are void and of no effect, unless otherwise specifically agreed to in a separate written agreement (“Override Agreement”), signed by a duly authorized officer of Transoft and the purchaser (which Override Agreement may include additional charges payable by purchaser).

Disclaimer

The purchaser acknowledges and agrees that except for and only to the extent of any limited warranty expressly set out in the Standard Terms applicable to the items in this Quotation that are purchased by the purchaser, all items are provided “as is” and Transoft Solutions Inc. and its affiliated companies, directors, employees and contractors shall incur no liability, loss or damage caused or alleged to be caused directly or indirectly by the products or services provided or supplied pursuant to or in respect of this Quotation. Further, Transoft makes no warranty, representation or guarantee, expressed, implied or statutory, with respect to such products or services, whether as to the accuracy, reliability, suitability, function, or results derived from the products or services or otherwise whatsoever and Transoft specifically disclaims any warranty of merchantability or fitness for a particular purpose. Purchaser understands and agrees that any results provided by the use of the products or services supplied by Transoft, will require professional interpretation. Neither the products or services nor anything contained in the user documentation or other written materials accompanying such products or services shall constitute or expand any warranty or guarantee other than any express warranty set out in in the Standard Terms.
The entire liability of Transoft, on whatever grounds or legal or equitable theories or principles, including product liability, tort, contractual liability, and breach of warranty, shall be limited to the amounts as set out in the Standard Terms applicable to the purchase of items in this Quotation. In no event shall Transoft be liable for nor shall it incur any liability in respect of any interruption of service, loss of profit (whether actual or anticipated), business opportunities, or savings, loss of data or any (other) form of consequential or indirect damages, arising from or out of the output, operation, use or inability to use or operate the items in this Quotation.

How is my order communicated?
You will receive an email confirming your purchase and details on how to access your subscription.

May I share my license with others?
Each Subscribed User represents one individual and their login and password, which cannot be shared with other users. If you purchase a team subscription license, you may share assets with the members of your team.

Does my user subscription license  automatically renew?
This is not an auto-renewing license. You will be required to re-purchase the license after your subscription has expired.

If we are tax exempt, how is the order processed?
We cannot process tax exempt orders online, please contact sales for assistance.
